VRAC – Notice of Special Meeting

We are writing to request your participation in a Special Meeting of Members.  The board of directors has worked diligently to update our bylaws, and the changes were presented to the membership at the recent AGM on May 30, 2024.  While the bylaw changes were already approved by the members, we still require formal approval of the membership to submit the required Articles of Amendment to Corporations Canada.  The bylaw changes do not officially come into effect until these Articles of Amendment are ratified by the members and then are submitted to Corporations Canada.

We expect that this meeting will take 10-15 minutes.  It is critical that we have quorum at this special meeting (at least 25 members), or we cannot submit the necessary documents to Corporations Canada.

Who can attend: Professional, Associate, and Retired Professional Members

During this meeting, we will:

Review a brief summary of the recently approved bylaw changes.  (By-laws )

Discuss the Articles of Amendment that need to be submitted to Corporations Canada. (Articles of amendment are attached)

Vote on the approval of these Articles of Amendment. The following are the resolutions that we will be voting on:

Resolution 1: Professional Members: Resolved that the additional Membership Classes proposed by the Articles of Amendment of the Corporation and described in the By-laws are approved; 

Associate Members: Resolved that the additional Membership Classes proposed by the Articles of Amendment of the Corporation and described in the By-laws are approved; 

Resolution 2: Professional Members: Resolved that the Corporation amend its articles as set out in the attached Form and Schedule and that the directors and officers of the corporation are authorized to take all steps necessary to carry out the amendment.
